Welcome to Umply (“Umply”, “we”, “our”, or “us”).

These Terms of Service (“Terms”) govern your access to and use of the Umply platform, including our website, mobile applications, scheduling tools, AI-powered features, umpire assignment system, and related services (“Service”).

By accessing or using Umply, you agree to these Terms. If you do not agree, you must stop using the Service.

1. Eligibility & Accounts

You must be at least 13 years old to use Umply. League administrators represent that they are authorized to use the platform on behalf of their organization. You are responsible for maintaining the confidentiality of your login credentials. You are responsible for all actions performed under your account.

2. Description of the Service

Umply provides tools for sports leagues, including:

Game scheduling 

Umpire assignments

AI-powered rulebook Q&A

Roster and field management

Schedule parsing

Tournament brackets

Notifications and league updates

Mobile applications for umpires and admins

Features may be updated or modified at any time.

3. AI Features & Disclaimer

Umply offers AI-powered tools, including:

Rulebook question answering

Auto-assign algorithm

AI-based schedule and roster parsing

AI Disclaimer: AI-generated responses may contain inaccuracies or incomplete interpretations. Final decisions—including assignments, rule calls, and game outcomes—are your responsibility.

Umply is not liable for decisions made in reliance on AI outputs.

4. Acceptable Use

You agree not to: 

Disrupt the Service or interfere with others’ use 

Upload illegal, harmful, or defamatory content 

Attempt to reverse engineer the platform

Share confidential league information without permission

Use Umply to discriminate against umpires or participants

Violation may result in account suspension or termination.

5. League Data & User Content

By uploading rosters, schedules, fields, rulebooks, or other content, you confirm:

You have the rights to upload the content

Umply may process, store, and index it to operate the Service

Umply does not claim ownership of your content, and does not sell any league or personal data.

6. Payments & Subscriptions

Some features require payment. Subscription fees are billed based on the selected plan. Payments are non-refundable unless required by law. Failure to pay may result in service suspension. Pricing may change with notice.

7. Service Availability

While we strive for reliability, we do not guarantee:

Uninterrupted or error-free operation

That all data will be preserved

Compatibility with all devices or networks

Outages, updates, and third-party dependencies may affect availability.

8. Privacy

Personal information is handled in accordance with our Privacy Policy. By using Umply, you consent to the processing of personal data as described there.

9. Third-Party Services

Umply may integrate with:

Hosting providers

AI services

Email systems

Authentication platforms

We are not responsible for issues caused by third parties.

10. Intellectual Property

Umply’s trademarks, branding, software, and platform components remain the property of Umply or its licensors. You may not copy, distribute, modify, or create derivative works unless authorized.

11. Termination

We may suspend or terminate accounts if:

These Terms are violated

Payments fail

Misuse is detected

Upon termination, your license to use Umply ends immediately.

Certain information may be retained for legal or operational reasons.

12. Limitation of Liability

To the fullest extent allowed b.y law:

Umply is provided “as is” We disclaim all warranties. We are not liable for:

Incorrect data or scheduling

AI misinterpretations

Umpire assignment issues

Game results or disputes

Loss of data

Incidental or consequential damages

Your exclusive remedy is to discontinue use of the Service.

13. Indemnification

You agree to indemnify and hold harmless Umply from claims arising from:

Your use of the Service

Your uploads or league data

Your breach of these Terms

14. Governing Law

These Terms are governed by the laws of Wisconsin, unless local law requires otherwise.

15. Changes to These Terms

We may update these Terms at any time. If changes are significant, we will notify you via email or in the Service. Continued use after changes means acceptance.
